Risks and Disclosure

Investing involves risk, including loss of principal. Past performance does not guarantee or indicate future results. Any historical returns, expected returns, or probability projections may not reflect actual future performance. While the data we use from third parties is believed to be reliable, we cannot ensure the accuracy or completeness of data provided by investors or other third parties. Neither East River Fund 1, LLC nor any of its affiliates provide financial or tax advice and do not represent in any manner that the outcomes described herein will result in any particular return or tax consequence. Offers to sell, or solicitations of offers to buy, any security can only be made through official offering documents that contain important information about investment objectives, risks, fees, and expenses. Prospective investors should consult with a tax or legal adviser before making any investment decision.

Portfolio Companies in which the Fund invests (directly or indirectly) may be in a conceptual or early stage of development, may not have a proven operating history, may offer services or products that are not yet developed or ready to be marketed or that have no established market, may be operating at a loss or have significant fluctuations in operating results, may be engaged in a rapidly changing business, may require substantial additional capital to support its operations, to finance expansion or to maintain their competitive position, or otherwise may have a weak financial condition. Portfolio Companies may face intense competition, including competition from companies with far greater financial resources, more extensive development, technological, marketing, and other capabilities, and a larger number of qualified managerial and technical personnel.

There can be no guarantee that any Portfolio Company investment will ever become liquid via public offering, merger, acquisition, or otherwise. At the time of the Fund’s investment, a Portfolio Company may lack one or more key attributes (e.g., proven technology, marketable product, complete management team, or strategic alliances) necessary for success. In most cases, investments will be long-term in nature and may require years from the date of initial investment before disposition.
